1. About MEMVORY

MEMVORY is a private photo and video sharing platform designed to help you curate your memories, tell the stories behind them, and share them securely with the specific people who were there. We provide tools for chronological and custom memory ordering, narrative journals, private group circles, and a secure zero-knowledge encrypted Vault.

2. Eligibility

To use MEMVORY, you must be at least 13 years of age. If you are under 18, you represent that you have received parental or legal guardian consent to use the Platform. By creating an account, you warrant that all information you provide is accurate and that your use of the Platform complies with all applicable local laws.

3. Use of Services

You agree to use MEMVORY only for personal, lawful purposes. You represent and warrant that you will not:

• Upload, share, or store any media that violates applicable laws, copyright, or intellectual property rights.
• Reverse engineer, decompile, copy, or attempt unauthorized access to the Platform's core code or security infrastructure.
• Distribute spam, malicious code, or files designed to disrupt the Platform's performance.

4. Content & Ownership

Your Photos, Your Ownership: You retain 100% ownership, title, and intellectual property rights to the photos, videos, stories, and text you upload to MEMVORY. We do not claim any ownership over your content.

Limited Hosting License: By uploading media, you grant MEMVORY a limited, non-exclusive, royalty-free license solely to host, backup, process, and display your media as required to perform our services for you (such as rendering your albums or sharing them with your chosen circles). We will never sell your photos or use them for advertising or AI model training.

5. The Vault & Zero-Knowledge Encryption

Our Platform includes "The Vault," a dedicated space for sensitive media secured via zero-knowledge, end-to-end encryption (E2EE). While standard albums are private and secure, the Vault provides an extra layer of mathematical security where encryption keys are derived directly on your local device.

6. Billing & Storage

Free Social Features: Sharing with circles, creating albums, writing stories, leaving comments, and reacting to posts are free and will remain free forever.

Storage Model: We bill solely for hosting and media storage. Storage space is provided under a clear billing plan. You agree to pay all applicable storage fees according to your chosen plan. Failure to maintain an active storage subscription may result in your account entering a read-only state or media deletion in compliance with our backup retention policies.

Digital Provisioning & Delivery: Storage upgrades, family space allocations, and associated premium features are delivered digitally and provisioned instantly on your account upon confirmation of successful payment authentication by our payment gateway providers (Razorpay or Creem). No physical shipping or delivery is involved.

7. Limitation of Liability

To the maximum extent permitted by law, ClyoraLabs, its founders, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of (or inability to access or use) the Platform.
• Any unauthorized access to, alteration of, or loss of your content.
• Technical malfunctions, network downtime, or data corruption. We strongly advise users to maintain secondary copies of irreplaceable personal photos.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where ClyoraLabs operates, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved exclusively in the competent courts of ClyoraLabs' corporate headquarters.
